Terms of Service
Last updated: [DATE — ATTORNEY REVIEW REQUIRED]
[ATTORNEY REVIEW REQUIRED] — This document is a template and must be reviewed by qualified legal counsel before publication. All sections marked with brackets require review and customization.
1. Acceptance of Terms
By accessing or using [PLATFORM NAME] ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
The Service is operated by [LEGAL ENTITY NAME], a [STATE] [ENTITY TYPE] ("we", "us", or "our").
2. Description of Service
[PLATFORM NAME] is a software-as-a-service ticketing platform that enables event organizers ("Organizers") to create events, sell tickets, and manage check-in. Ticket purchasers ("Buyers") purchase tickets directly from Organizers. We facilitate the technology; we do not organize, host, or have any responsibility for the events listed on the platform.
3. Accounts and Registration
To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your account credentials and for all activity under your account.
[ATTORNEY REVIEW REQUIRED — Minimum age requirement: 18 for Organizers. Consider whether to allow minors as Buyers with parental consent, or restrict to 13+ per COPPA.]
4. Organizer Obligations
As an Organizer, you agree to:
- Provide accurate event information including date, time, venue, and description
- Honor all tickets sold through the platform for the event as described
- Comply with all applicable local, state, and federal laws
- Maintain a valid Stripe account in good standing for receiving payments
- Not use the platform for events involving illegal activities, fraud, or content that violates our Acceptable Use Policy
5. Payments and Fees
5.1 Subscription Pricing
Organizers pay a flat monthly subscription fee based on their selected tier. Current pricing is listed at [PRICING PAGE URL]. We may change pricing with 30 days' advance notice to active subscribers.
5.2 Payment Processing
Ticket revenue is processed through Stripe and deposited directly into the Organizer's connected Stripe account. We do not hold, escrow, or have access to ticket sale proceeds. Standard Stripe processing fees apply and are the Organizer's responsibility.
[ATTORNEY REVIEW REQUIRED — Confirm this payment flow means the platform is NOT a money transmitter under applicable state and federal law. Stripe Connect Standard accounts route funds directly — platform never touches buyer funds.]
5.3 Free Tier
The free tier is limited to 1 published event and 50 tickets. No credit card is required. We reserve the right to modify free tier limits with reasonable notice.
6. Refunds
Refund policies are set by each Organizer. When an Organizer initiates a refund through our platform, we process a full-ticket refund through Stripe. We do not support partial refunds.
Organizers may also process refunds directly through their Stripe dashboard. We are not responsible for refund disputes between Organizers and Buyers.
[ATTORNEY REVIEW REQUIRED — Consider requiring Organizers to publish a refund policy. Evaluate chargebacks and who bears the cost. Stripe chargeback fee ($15) is assessed to the connected account (Organizer), not the platform.]
7. Intellectual Property
The Service, including its design, code, and documentation, is owned by [LEGAL ENTITY NAME] and protected by copyright and other intellectual property laws. Organizers retain ownership of their event content, branding, and customer data.
8. Data and Privacy
Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you consent to the practices described therein.
Organizers are independent data controllers for the buyer data they collect. We process this data on behalf of Organizers in our capacity as a data processor.
9. Limitation of Liability
[ATTORNEY REVIEW REQUIRED — This section requires careful drafting based on jurisdiction. Key points to cover:]
- Platform is a technology provider, not an event organizer or ticket seller
- No liability for event cancellations or Organizer misconduct
- Limitation of liability capped at fees paid in the 12 months preceding the claim
- Exclusion of consequential, incidental, and indirect damages
- No warranty of uninterrupted service; provided "as is"
10. Indemnification
[ATTORNEY REVIEW REQUIRED — Organizers should indemnify the platform for claims arising from their events, ticket sales, and use of the Service. Draft mutual indemnification clause.]
11. Termination
Either party may terminate at any time. Organizers may cancel their subscription through the dashboard. We may suspend or terminate accounts that violate these Terms. Upon termination:
- Active subscriptions end at the current billing period
- Organizers retain access to export their data for 30 days
- Outstanding ticket obligations remain the Organizer's responsibility
12. Dispute Resolution
[ATTORNEY REVIEW REQUIRED — Choose between arbitration clause and court jurisdiction. Specify governing law (state). Consider small claims court carve-out for Buyers.]
13. Modifications
We may update these Terms from time to time. Material changes will be communicated via email to registered users at least 30 days before taking effect. Continued use after changes constitutes acceptance.
14. Contact
Questions about these Terms should be directed to [SUPPORT EMAIL] or [MAILING ADDRESS].
